      Archive CapMx data and migrate to Captable.io

      Your crucial corporate and cap table data stored on CapMx (part of Shareworks by Morgan Stanley) can be safely migrated to other systems. Below are instructions to fully archive your data and migrate to Captable.io prior to the CapMx product sunset. You can also provide this guide to your legal administrators to perform the data archival and migration.

      To archive data that aren't spreadsheet reports, use your browser's Print to PDF feature. To archive spreadsheet reports, select 01/01/1900 ~ today's date as the date range, and select all the metadata that can be exported, such as address and unmasked SSN.

      Company information

      • Archive in CapMx:
        • Company > Corporate Management > Company Profile
        • Company > Corporate Management > Board Size
      • Use in Captable.io: Create Company

      409A Fair Market Value (FMV) history

      • Archive: Capitalization > FMV
      • Use: Company > 409A

      Stock class data

      • Archive: Capitalization > Authorized Capital
      • Use: Create Stock Class, stock class tab in the bulk import spreadsheet template

      Stock option plan data

      • Archive:
        • Stock Option Plan > Modify Option Plan
        • Click on each name to view and archive the details
        • In the View Stock Option Plan view, click on each share allocation effective date to view and archive additional details
      • Use: Create Stock Plan, plan tab in the in the bulk import spreadsheet template

      Vesting schedules

      • Archive: Company > Vesting Schedule - Modify, click on each key to archive the details
      • Use: create security views, stock, option and RSA tabs in the bulk import spreadsheet template

      Stock legend

      • Archive: Reports > Stakeholder > Legend List
      • Use: Company > Legend

      Stakeholder ledger data

      • Archive:
        • Reports > Optionholder Report (Ledger), select Include Address
        • Reports > Stakeholder Report
        • Reports > Termination Report (Ledger)
      • Use: Create Stakeholder, stakeholders tab in the bulk import spreadsheet template

      Stock ledger data

      • Archive:
        • Reports > Detailed Capitalization, select Issued/Outstanding and As-Converted Shares (combined) report type, don't select Show Groups
        • Reports > Stock Certificate Ledger (Legal), select Stock Certificate Ledger (Legal) report type
        • Reports > Stakeholder > Stock Repurchase Report
      • Use: Grant Stock, stock tab in the bulk import spreadsheet template

      Stock option ledger data

      • Archive:
        • Reports > Option & Stock Purchase Right > Options and SPRs Granted (Legal)
        • Reports > Option & Stock Purchase Right > Options and SPRs Exercised (Ledger)
      • Use: Grant Options, options / RSA tab in the bulk import spreadsheet template

      Convertible security ledger data

      • Archive: Reports > CPN Ledger Report (Legal)
      • Use: Grant Convertible Instrument, convertible instruments tab in the bulk import spreadsheet template

      Warrant ledger data

      • Archive: Reports > Warrant Ledger Report (Ledger)
      • Use: Grant Warrant, warrant tab in the bulk import spreadsheet template

      Other

      • Archive: Security > Rule 701 Computation
      • Use: Reporting > Rule 701
